Service Description BananaRat Studio is an AI-assisted songwriting platform operated by Banana Rat Media. The platform generates song packages — including lyrics, chord progressions, tablature, MIDI files, MusicXML notation, audio stems, and mastered audio — using artificial intelligence. ## 2. Account and Credits - **Credit Packs:** Songs are generated using credits purchased through our Shopify store. Each credit entitles you to one composition. - **Free Trial:** New users receive a limited number of complimentary compositions during their first 14 days. Trial compositions are for evaluation purposes. - **Credit Expiry:** Purchased credits do not expire. - **Non-Transferable:** Credits are tied to your Shopify customer account and cannot be transferred to another person. ## 3. Ownership of Generated Content ### Paid Users Banana Rat Media claims no ownership interest, license, or revenue share in your compositions. You own your creative contributions and the resulting work to the maximum extent recognized by applicable law — and U.S. copyright law currently protects human authorship, so your lyrics, edits, arrangement choices, and creative direction are what make a composition yours. You may use your compositions for any commercial or non-commercial purpose without attribution. ### Free Trial / Free Tier Users Compositions generated during a free trial or under the free tier may be used for **personal, non-commercial purposes only** — this is a contractual use restriction, not a claim of ownership by Banana Rat Media. Commercial use requires a paid credit pack. Free-tier outputs must include the attribution: "Made with BananaRat Studio." ## 4. AI Disclosure All compositions are generated with the assistance of artificial intelligence. In accordance with the EU AI Act (Article 50), all audio files produced by BananaRat Studio are machine-readably marked as AI-generated using C2PA content credentials. **You acknowledge that:** - AI-generated outputs may not qualify for copyright protection without meaningful human authorship, as established by the U.S. Copyright Office. - We encourage you to modify, arrange, perform, and add original creative expression to compositions before seeking copyright registration. - You are solely responsible for determining the copyrightability of your outputs. We make no representation that outputs are copyrightable as-is. ## 5. Melody Similarity AI-generated melodies may coincidentally resemble existing copyrighted works. BananaRat Studio employs a melody similarity detection gate, but **cannot guarantee that every output is entirely unique**. You are responsible for clearing compositions before commercial release. Banana Rat Media is not liable for claims of intellectual property infringement arising from your use of generated outputs. ## 6. Data and Training We do **not** use your compositions, lyrics, uploaded files, or prompts to train, fine-tune, or improve any AI model. Your text inputs are sent to Anthropic's API solely for real-time composition and are subject to Anthropic's zero-retention API data policy. Audio generation occurs entirely on our local server hardware with no external data transfer. ## 7. Acceptable Use You agree not to use BananaRat Studio to: - Generate content that promotes violence, hatred, or illegal activity. - Deliberately replicate or imitate specific copyrighted songs or recordings. - Misrepresent AI-generated content as entirely human-created in contexts where disclosure is legally required. - Reverse-engineer, scrape, or systematically extract the platform's AI models, prompts, or internal architecture. ## 8. Your Responsibility for Uploaded Content When you upload lyrics, MIDI files, tablature, or any other material to BananaRat Studio ("Your Content"), you make the following representations and agreements. **You have the rights.** You represent and warrant that you are the author of Your Content, or that you otherwise hold all rights, licenses, consents, and permissions necessary to upload it, to have it processed by the platform, and to receive the resulting compositions. You will not upload material you do not own or are not licensed to use. **You indemnify us.** You agree to indemnify, defend, and hold harmless Banana Rat Media, its owner, operators, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your breach of the representations above, or (c) any allegation that Your Content infringes, misappropriates, or violates the intellectual property, publicity, privacy, or other rights of any third party. **We can't verify copyright.** BananaRat Studio does not and cannot verify the copyright status or ownership of material users upload. We process uploads in good faith based on your representations. Responsibility for clearing rights rests entirely with you. **Repeat infringers will be terminated.** In accordance with our DMCA policy at `/pages/dmca`, Banana Rat Media will terminate the accounts of users who receive repeated copyright-infringement complaints. Our specific repeat-infringer threshold and process are described on that page and are incorporated into these Terms by reference. ## 9. Service Availability BananaRat Studio is provided on an "as-is" basis. We do not guarantee uninterrupted availability. The platform runs on dedicated hardware and may experience downtime for maintenance or upgrades. Credits are not refunded for temporary service interruptions. ## 10. Limitation of Liability To the maximum extent permitted by law, Banana Rat Media's total liability for any claim arising from your use of BananaRat Studio shall not exceed the amount you paid for credits in the 12 months preceding the claim. ## 11. Changes to These Terms We may update these terms at any time. Material changes will be communicated via email or a notice on the platform. Continued use after changes constitutes acceptance. ## 12.
